Job Description Job Description Role Summary Our client, a
top-tier AmLaw law firm with a nationally recognized corporate and
tax platform, is seeking a Transactional Tax Associate Attorney to
join its Corporate practice. This role focuses on advising on
sophisticated middle-market mergers and acquisitions and private
equity transactions. The position offers the opportunity to work
closely with corporate, finance, and private equity teams in a
collaborative, high-performing environment. Key Responsibilities
Advise clients on federal, state, and international tax matters
related to corporate transactions, including mergers, acquisitions,
divestitures, and joint ventures. Draft, review, and negotiate
tax-related provisions in acquisition agreements and other
transactional documents. Conduct tax due diligence and provide
clear risk assessments and structuring recommendations to clients
and deal teams. Collaborate with attorneys across corporate,
finance, and other practice areas to deliver integrated tax
solutions aligned with client objectives. Monitor and analyze
developments in tax law and regulations impacting M&A and
private equity transactions. Maintain strong client relationships
through responsiveness, clear communication, and consistently
high-quality work. Required Qualifications Juris Doctor (JD) from a
top-tier law school with strong academic credentials. Active bar
admission in the applicable jurisdiction, in good standing. 5 years
of substantive transactional tax experience, ideally in a large law
firm environment. Demonstrated experience advising on tax aspects
of mergers, acquisitions, and private equity transactions,
particularly in the middle-market space. Strong analytical,
drafting, and research skills with exceptional attention to detail.
Sound business judgment, strong organizational skills, and the
ability to manage multiple complex matters simultaneously. Ability
to work effectively both independently and as part of
cross-functional deal teams. Preferred Qualifications Prior
experience supporting private equity sponsors and portfolio
companies. Exposure to multi-jurisdictional or cross-border
transactional tax matters. Compensation & Work Model Compensation:
Expected annual base salary range of $365,000 to $435,000,
commensurate with experience, qualifications, and market
considerations, plus eligibility for discretionary bonuses.
